T-Mobile USA and MetroPCS will merge in a multi-million-dollar deal to create "the leading value carrier in the U.S. wireless marketplace," both companies announced this morning.
The deal is structured as a recapitalization, in which MetroPCS will declare a 1 for 2 reverse stock split, make a cash payment of $ 1.5 billion to its shareholders and acquire all of T-Mobile's capital stock by issuing to Deutsche Telekom, its parent company, 74 percent of MetroPCS' common stock.
The new company will keep the T-Mobile name, locate its headquarters in Bellevue, Wash. (with a sizeable presence in Dallas, Texas) and continue trading on the New York Stock Exchange. T-Mobile president and CEO John Legere will keep his title for the new combined company, which plans to operate the two brands as separate customer units led by T-Mobile's Jim Alling and MetroPCS' Thomas Keys, respectively.
The companies believe the merger will offer more network coverage, a broader product lineup and "a clear-cut technology path to one common LTE network," and serves as a hedge against the increasing consolidation at the top of the U.S. market, where rival carriers Verizon and AT&T lead the market by a considerable margin.
The announcement comes just a year after AT&T made a failed bid to acquire T-Mobile.
T-Mobile has long targeted the low end of the wireless market, regularly undercutting the prices of its wireless rivals and aggressively pushing out new smartphones in a bid to woo customers to the pink side.
Without Apple's iPhone or Verizon's well-marketed "Droid" lineup, however, the company has failed to slow an exodus of customers in a market where, paradoxically, they choose to spend more on their mobile devices.
The combined company will continue to bet on no-contract services; now, it merely has more customers for them under the same corporate roof. (The new company is expected to have approximately 42.5 million subscribers and $ 24.8 billion of revenue.) The deal will help intensify T-Mobile's battle with Sprint over the more price-sensitive side of the wireless market.
"Ultimately, this combination will create a stronger wireless provider nationally with broader value offerings to better serve our combined customers and drive shareholder value," MetroPCS chairman and CEO Roger Linquist said.
The deal is expected to close in the first half of 2013.

The handset maker could unveil a smaller model of its 4.8-inch S3 next week, suggests an invite for a launch event.
Is Samsung readying a smaller edition of the Galaxy S3?
(Credit: Samsung )Smartphone buyers who think the Galaxy S3 is too big could see a smaller version launch as early as next week.
An invite sent out by Samsung for an October 11 launch event touts a smaller product on the horizon with the headline "The size may be small" and the subheading "and so small can be big," according to Google Translate. The text from Samsung's German branch is also translated as "that's how big small can be," says TechRadar. However you translate it, Samsung is teasing a big announcement about a small product.
The notable Galaxy phone "S" logo appears in the background of the invitation, clearly indicating that the smaller device will be part of the Galaxy S lineup.
With a screen size of 4.8 inches, the Galaxy S3 seems a likely candidate to get a smaller brother. Such Android phones have spurred huge demand.
But some consumers have complained that their overall size is too large, making it difficult to hold the phone in one hand.
With the iPhone 5, Apple increased the display size to 4 inches from 3.5 inches. So it's unlikely Samsung would go smaller than 4 inches. A 4-inch Galaxy S3 would also pose a challenge to the iPhone 5, especially among users who don't like their smartphones too big.
CNET contacted Samsung for comment and will update the story if we receive any information.

RIM's attention around its QNX-based platforms might revolve around BlackBerry 10 as of late, but don't think that it's leaving BlackBerry PlayBook users behind. A PlayBook 2.1 update is rolling out today that fills in some of the gaps left by 2.0 earlier this year. Habitual messagers can now start SMS text messages directly from the tablet when tethered through BlackBerry Bridge; they also get overdue support for a portrait view in email, calendars and contacts. If communication isn't the cornerstone of your life, you'll still find a few niceties such as Android App Player support for the camera and in-app purchases, device encryption that extends to personal data and wireless printing beyond the local network. For now, you'll have to be an owner of the original, WiFi-only PlayBook to leap on the 2.1 train today -- those who sprang for the usually carrier-bound PlayBook 4G LTE should get their upgrade within a month.

Apple is simple and easy to use, but overpriced. Samsung is cheaper and if you don't care about iOS, better. Better cameras, screens, processors, storage plus a wider range.
